Role Description
Work Experience: 10 12 years (post qualification);Qualification: Member of ICSI and LLB;
Level: Senior Manager / Deputy General Manager;
Reporting to: Group Head Legal & Secretarial;
Entity: Jakson Limited;
Location: Noida Corporate Office.

Legal/Contract Management
Drafting and vetting of Memorandum of Understandings, Term Sheets, Letter of Intent, Scope of Works, NonDisclosure Agreements, Power of Attorneys, Authority Letters.
Reviewing banking documents, investment agreements, and loan agreements;Evaluating Joint Venture Agreements, Share Purchase/Share Subscription Agreements, Shareholders Agreements;
Drafting and vetting of Lease Deeds, Leave & License Agreements;
Preparing Commercial Agreement, Consultancy Agreement, Retainer-ship Agreement;
Assisting with Corporate Structures, Mergers & Acquisitions;
Due Diligence for Land acquisition, Takeovers, and Investments.
Secretarial Function
Preparing agendas, notices, agenda papers, and minutes of the meetings pertaining to the Board, Committees and
General Meetings for various group companies;Annual Report, Board /Directors Report & Annual Return;
Filing Balance Sheet, Annual Return, and other forms with ROC
Maintenance of statutory records of various group companies;RBI/FEMA Compliances related to issues of shares to Private Equity Funds and joint Venture Partners ona PrivatePlacement/Preferential Allotments Basis;
Compliances of various provisions of The Companies Act, 2013 and Rules thereof
Secretarial Audit of Flagship companies and group companies and interacting/dealing with the auditors in timelycompletion of audits;Regular updates to accounts, finance, and other departments on corporate actions and statutory amendments
to ensure compliance with applicable law across the organization;Coordinating with external counsels for litigations and MCA, ROC, NCLT, CDSL/NSDL, Stock Exchanges, RBI and
other external agencies;Filing of statutory e-forms with the Ministry of Corporate Affairs;
Working closely with the Finance team to ensure compliances relating to approval for borrowings, investments, loans, related party transactions annual financial results, etc. under the relevant provision
Preparation, review, and finalization of various policies under corporate laws.
