Job Description
  • Conducting meeting and drafting of Core Secretarial documents like meeting notice, agenda, minutes, attendance register etc and Record keeping of secretarial documents.
  • Compliance management on related party transaction, intercorporate borrowing and lending within Group companies and external companies.
  • Vetting Letter of Intent, Lease deed, Maintenance agreements pertaining to commercial Business.
  • Filing Knowledge of FCTRS, FCGPR, DI, ARFLA and other documents with RBI under FEMA.
  • E-filing of forms at MCA 21 Portal under both V2 and V3.
  • XML documentation (including IND AS) and XBRL filings.
  • Drafting of Annual Report including board reports and Filing Forms related thereto.
  • Liasioning with ROC for Certified Copies, AGM extension, Registration, Modification & Satisfaction of Charges and filings thereof.
  • Issuance of share certificates and duplicate certificates.
  • Vetting affidavits, declaration and request letter towards various departments and stamping & notary thereof.
  • Appointment & Cessation of directors.
  • Drafting of Resolution & Documents of Bonus Issue, Appointment & Cessation of Directors, Appointment of Auditors, Increase in Authorized Capital, Private Placement, Allotment of Shares, Change of Name & Objects of the Companies, ESOP etc.
  • Maintaining and updating of Company Statutory Registers and returns.
  • Secretarial Audit Exposure.
  • Preparing the Digital Signature Certificate (DSC).
  • Assistance in finalization of financials.
  • POSH Policy preparation, filing POSH return and other compliance under POSH act 2013
  • Opening and Closure of Bank account, Placing FD with Bank & its documentation and adding or removal of signatories of Bank accounts with Bank related KYCs and other documents.
