SENIOR MANAGER/DGM - COMPANY SECRETARY

Experience - 15 - 20 Years

Location: INXT City Centre, Sector 83, Gurgaon

• Ensure compliance under corporate laws for group companies, including the Companies Act and Rules, FEMA, IPR Laws, and LODR regulations.
• Manage loan-related compliances, including documentation, creation of security, and handling the creation and satisfaction of charges.
• Oversee the issuance of securities through Private Placement or other methods, ensuring compliance with legal requirements.
• Facilitate the dematerialisation of securities and ensure adherence to regulatory guidelines.
• Handle the redemption of debentures and ensure compliance with applicable laws.
• Ensure FEMA compliance for Foreign Direct Investment (FDI) and Overseas Direct Investment (ODI).
• Execute and manage Mergers/Amalgamations, ensuring legal and procedural compliance.
• Manage trademark-related matters, including obtaining, renewing, and protecting intellectual property rights.
• Ensure periodic compliance under all relevant corporate laws and regulatory frameworks.
• Keep management updated on regulatory changes, new laws, and other significant legal developments.
• Represent the company and act in good faith on corporate law matters, as authorized by the management.
• Handle other secretarial compliances as directed by the management or required by law.

• Have a relevant degree or professional qualification, such as law, accounting, finance, business administration, or management.
• Have strong skills in communication, organization, problem-solving, and attention to detail.
• Be able to work independently and handle confidential information with discretion.
• Be able to work effectively under pressure in a fast-paced environment.
